This End User License Agreement (“Agreement” or “EULA”) is a binding legal contract between You (End-User, whether a Rider or Driver) and Sambie Ride Technologies / Sambie Transport Technologies PLC (“Licensor,” “Company,” “Sambie Ride”), a registered entity located in Addis Ababa, Ethiopia.
By downloading, installing, or using the Sambie Ride mobile application (the “Application”) from the Apple App Store, Google Play Store, or third-party stores, or by accessing our call center dispatch services, You agree to be bound by all terms and conditions of this Agreement.
The parties acknowledge that Apple Inc. and Google LLC are not parties to this Agreement and bear no responsibility for the Application, its content, maintenance, support, or associated claims. Sambie Ride is solely responsible for the Application.
1. THE APPLICATION & PLATFORM SERVICES
Sambie Ride is an on-demand transportation technology platform that connects passengers (“Riders”) with independent transportation providers (“Drivers”) via mobile software and telephone call center dispatch.
Important Clarification: Sambie Ride is a technology platform provider and does not directly operate as a common carrier or taxicab owner. Transportation services are provided independently by verified Drivers who comply with Ethiopian commercial transport directives.
The Application is designed to comply with applicable Ethiopian statutes, including the Data Protection Proclamation No. 1321/2024 and regulations set forth by the Ministry of Innovation and Technology (MInT) and the Ministry of Transport and Logistics (MoTL).
2. SCOPE OF LICENSE
2.1 Grant of License: Sambie Ride grants You a non-transferable, non-exclusive, revocable, non-sublicensable license to install and use the Application on compatible mobile devices that You own or control within the Federal Democratic Republic of Ethiopia.
2.2 Updates: This license governs any updates, patches, or software upgrades provided by Sambie Ride that replace or supplement the original Application, unless accompanied by a separate license.
2.3 Usage Restrictions: You shall not:
Reverse engineer, decompile, disassemble, modify, translate, adapt, or attempt to derive the source code of the Application.
Rent, lease, lend, sell, redistribute, or sublicense the Application to any third party.
Remove, alter, or obscure any copyright, trademark, or proprietary notices embedded in the software.
Use the Application for any unlawful purpose or in violation of local municipal ordinances or Ethiopian federal laws.
2.4 Ownership: Sambie Ride retains all rights, title, and intellectual property interests in and to the Application, including logos, source code, UI design, algorithms, and trademarks.
3. TECHNICAL REQUIREMENTS & TELECOM ACCESSIBILITY
3.1 System Compatibility: You are responsible for maintaining a mobile device and internet connection (via local network providers such as Ethio Telecom or Safaricom Ethiopia) that meet the operational requirements of the Application.
3.2 Software Modifications: Sambie Ride reserves the right to modify technical requirements, supported operating systems, and app features to optimize performance, enhance security, or comply with statutory directives.
4. MAINTENANCE, SUPPORT & LOCAL CONTACT
4.1 Sambie Ride is solely responsible for providing technical support and software maintenance. Apple and Google have no obligation to furnish maintenance or support services.

5. USE OF DATA & PRIVACY
Your download and use of the Application constitute acceptance of our Sambie Ride Privacy Policy. We process personal information, location telemetry, and payment verification records in accordance with the Data Protection Proclamation No. 1321/2024 and the laws of Ethiopia.
6. USER-GENERATED CONTENT & CONDUCT
The Application may allow You to submit ratings, reviews, chat messages, or incident reports (“Contributions”).
When submitting Contributions, You represent and warrant that:
Your Contributions do not violate any local laws, third-party rights, or intellectual property rights.
Your Contributions are truthful, accurate, and not misleading.
Your Contributions do not contain illegal, harassing, defamatory, abusive, or culturally insensitive content.
Your Contributions do not promote political hostility, hate speech, or ethnic division, in accordance with Ethiopian law.
Sambie Ride reserves the absolute right to pre-screen, edit, redact, or remove any Contribution that violates this Agreement or hurts platform integrity.
7. FARES, PAYMENT METHODS & CASH TRANSACTIONS
7.1 Fare Calculation: Fares are calculated dynamically based on distance, time, traffic congestion, base tariffs, and demand surges, in accordance with applicable regional transport bureau guidelines.
7.2 Payment Options: Fares may be settled via:
Direct Cash payment to the Driver upon trip completion.
Integrated digital payment gateways and mobile money services (e.g., Telebirr, CBE Birr, or local commercial bank transfers).
7.3 Unpaid Fares: Failure to pay agreed-upon fares will result in immediate account suspension and potential legal recovery under the Civil Code of Ethiopia.
8. LIMITATION OF LIABILITY
8.1 Scope of Responsibility: To the maximum extent permitted by Ethiopian law, Sambie Ride’s liability for technical bugs, service interruptions, or gross negligence shall be limited to direct damages up to the value of the trip in question or the platform fee received for that transaction.
8.2 Independent Driver Actions: Independent Drivers are not legal employees or agents of Sambie Ride. Sambie Ride is not liable for traffic accidents, property loss, personal injury, or driver misconduct, provided Sambie Ride exercised due diligence in driver identity verification and background vetting as mandated by law.
8.3 Force Majeure: Sambie Ride is not liable for service disruptions caused by events beyond its reasonable control, including internet shutdowns, severe weather, civil unrest, or telecommunication infrastructure outages.
9. WARRANTIES & DISCLAIMERS
9.1 Software Quality: Sambie Ride warrants that the Application is free of malicious code, viruses, or spyware at the time of download.
9.2 Disclaimer: Except as expressly provided, the Application is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of uninterrupted availability.
9.3 Defect Reporting: Users may report technical defects to Sambie Ride Customer Support. Verified defects will be addressed through software updates or patches within a reasonable timeframe.
10. TERMINATION
This Agreement remains effective until terminated by You or Sambie Ride.
By You: You may terminate this Agreement by deleting the Application and discontinuing platform use.
By Sambie Ride: Sambie Ride may suspend or terminate your account immediately without prior notice if You breach any provision of this Agreement, engage in fraudulent behavior, or compromise the safety of other users.
Upon termination, You must cease all use of the Application.
11. GOVERNING LAW & JURISDICTION
11.1 Governing Law: This Agreement, its interpretation, and any disputes arising out of or in connection with it shall be governed exclusively by the laws of the Federal Democratic Republic of Ethiopia.
11.2 Dispute Resolution:
Parties shall first attempt to resolve any dispute or claim through good-faith informal negotiation via Sambie Ride Customer Support.
Any unresolved dispute arising out of this Agreement shall be submitted to the exclusive jurisdiction of the competent courts of Addis Ababa, Ethiopia.
12. SEVERABILITY & MISCELLANEOUS
12.1 Severability: If any provision of this Agreement is held to be invalid or unenforceable under Ethiopian law, the remaining provisions shall remain in full force and effect.
12.2 Entire Agreement: This Agreement, alongside the Privacy Policy, Driver Consent Forms, and Terms of Service, constitutes the entire legal understanding between You and Sambie Ride regarding the Application.
